Terms of Service

1. Acceptance of Terms

By accessing this website or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. openaisolutions.ai reserves the right to update these terms at any time with notice via email.

2. Services

openaisolutions.ai provides done-for-you AI agent deployment and management services ("Mission Control"). Services are provided on a monthly retainer basis as described in our pricing. Exact scope is defined in a separate service agreement or statement of work provided at onboarding. All infrastructure (VPS, API keys, agent configurations) is provisioned and controlled by openaisolutions.ai on the client's behalf for the duration of the engagement.

3. Payment & Billing

• Monthly retainers are billed in advance at the start of each billing cycle
• The retainer includes a per-agent API budget of $75/agent/month, covering all model inference and third-party API costs incurred on the client's behalf
• If total API spend for a billing period exceeds the included budget, the overage is billed at cost plus 10% as a line item on the following month's invoice
• openaisolutions.ai will notify the client when API spend reaches 80% of the included budget before month-end
• Payment is due within 7 days of invoice
• Late payments may result in service suspension after 14 days
• All fees are in USD unless otherwise agreed

4. Cancellation

Either party may terminate services with 30 days written notice. No refunds are issued for the current billing period. Any API overages accrued through the final billing date will be invoiced at termination. Upon termination, the client may choose one of two offboarding paths: (1) openaisolutions.ai will provide a full handoff package — agent configurations, workflow documentation, and assistance replacing all managed API keys with the client's own accounts — so the client can self-host the system; or (2) the system is shut down cleanly and all configurations archived. In either case, the VPS provisioned by openaisolutions.ai is canceled at the end of the final billing period.

5. Client Responsibilities

• You are responsible for providing accurate information about your business and workflows
• You grant us access to the tools and systems necessary to provide the service
• You agree not to use our services for illegal, harmful, or deceptive purposes
• You are responsible for ensuring your use of integrated third-party tools complies with those tools' own terms of service

6. Data & Confidentiality

We treat all client business information as confidential and will not disclose it to third parties without your consent. We use client data solely to provide the contracted services. Refer to our Privacy Policy for full details on data handling.

7. Intellectual Property

Custom agent configurations and workflows built for your account are yours. The underlying Hermes-Agent platform is open source (MIT license). openaisolutions.ai retains rights to general methodologies, templates, and frameworks not specific to your business. Configuration files and documentation are delivered to you in full upon offboarding via the handoff package.

8. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total fees paid in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits, lost data, or business interruption.

9. Warranties

We provide services professionally and in good faith. However, we do not guarantee specific business outcomes, revenue increases, or AI performance benchmarks. AI systems are tools — their effectiveness depends on your business context, workflows, and data quality.

10. Governing Law

These terms are governed by the laws of the State of Ohio, USA. Disputes shall be resolved by binding arbitration under AAA rules before resorting to litigation.
